Terms of Service

1. Acceptance of Terms
By creating an account, accessing, or using the StaffrWorks platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms form a binding legal agreement between you and StaffrWorks, Inc., a Delaware corporation ("Company", "we", "us").
2. Nature of Service
StaffrWorks provides a workforce management platform including scheduling, time tracking, and communication tools.You acknowledge that StaffrWorks is a technology provider, not a legal advisor or employer of record.You are solely responsible for compliance with all applicable labor laws, including but not limited to the Fair Labor Standards Act (FLSA), state wage and hour laws, and break requirements.
3. Use of Biometric Features
Our Service includes features that permit the capture of employee photos for identity verification ("Time Clock"). By enabling these features, you represent and warrant that:
- You have provided all necessary notices to your employees regarding the collection of their biometric data/identifiers.
- You have obtained all necessary written consents from your employees as required by applicable law, including the Illinois Biometric Information Privacy Act (BIPA), Texas Capture or Use of Biometric Identifier Act, and others.
- You agree to our Biometric Information Policy, incorporated herein by reference.
4. Subscription and Billing
4.1 Fees
Service fees are billed in advance on a monthly or annual basis and are non-refundable. There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account.
4.2 Auto-Renewal
Your subscription will automatically renew at the end of each billing cycle unless you cancel your account through your dashboard before the renewal date.
5. User Data and Privacy
We process your data in accordance with our Privacy Policy. You retain ownership of all data you upload ("Customer Data"). You grant us a worldwide, royalty-free license to use, host, store, and display Customer Data solely as necessary to provide the Service to you.
6. Intellectual Property
The Service, including its "look and feel" (e.g., text, graphics, images, logos, and button icons), proprietary content, information and other materials, are protected under copyright and intellectual property laws. You agree not to copy, distribute, modify, or make derivative works of any of our materials.
7. Disclaimers and Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL STAFFRWORKS, INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO STAFFRWORKS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE INCIDENT.
8. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Any dispute or claim relating in any way to your use of the Service will be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. The Federal Arbitration Act and federal arbitration law apply to this agreement.There is no judge or jury in arbitration, and court review of an arbitration award is limited.
The arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Any arbitration hearings will take place in New Castle County, Delaware.
9. Governing Law
These Terms shall be governed by the laws of the State of Delaware, without respect to its conflict of laws principles.
10. SMS Communications
By opting into SMS notifications within your StaffrWorks dashboard, you agree to receive text messages related to your work schedule, shift changes, and company announcements.Message frequency varies. Message and data rates may apply.
You can cancel the SMS service at any time by texting STOP. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you need assistance, text HELP or contact your manager directly.
11. Changes to Terms
We reserve the right to modify these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
